Terms & Conditions

These terms and conditions govern the relationship between W.G. Virtual PA Services Ltd (referred to as "service provider", "us", "we", "our") and the client ("you", "your"). Prior to commencing any services, you will receive an agreement detailing the services to be provided, along with the terms and conditions that both parties will be required to sign.

1. Provision of Services

a) The agreed-upon services will be specified in the agreement. Any changes to these services will be communicated by either party promptly.

 

b) Any additional work beyond the scope of the agreement must be negotiated separately and will require a separate agreement.

 

c) Prior to commencing any work, a signed agreement is necessary to confirm your acceptance of W.G. Virtual PA Services' Terms & Conditions.

 

d) A timesheet will be completed for each task and included with the invoice.

 

e) While we endeavour to deliver completed work of high quality and accuracy to you, it is the client's responsibility to review and confirm its accuracy upon receipt. Any discrepancies should be reported within two days of receiving the completed work. We cannot be held liable for any inaccuracies or resulting losses, whether direct or indirect. Additionally, we reserve the right to reject any work, including content believed to be unlawful or inappropriate.

 

f) Retainer packages are offered and require payment one month in advance, with a minimum commitment of 10 hours per month to qualify for the retainer package. Please note that hours cannot be carried over.

 

g) Holiday dates will be co-ordinated and communicated between both parties when they overlap with the task.

2. Payment and Charges

a) Initial consultation with new clients are complimentary and can be conducted in person, via MS Teams or email.

 

b) Fees for services will be outlined in the initial agreement.

 

c) Services will be charged monthly based on hourly increments.

 

d) Should the client suspend, delay or terminate any works, they will be invoiced for the works already completed to date.

 

e) Payment is required upon receipt. Invoices not settled within 7 days will be considered overdue.

 

f) We will cease further work once an invoice becomes overdue.

 

g) If debt collection becomes necessary, the client will be responsible for any associated costs.

 

h) Charges will be reviewed annually on 1st January, and clients will receive written notification of any adjustments.

 

i) Payments can be made by cash, cheque or bank transfer.

3. Confidentiality & Privacy

a) We commit to maintaining strict confidentiality regarding all business activities and tasks assigned by clients. Information will not be disclosed to any third party without the client's explicit knowledge and written consent. It is the client's responsibility to obtain consent for any third-party information shared with us. If the client requests a non-disclosure agreement (NDA) before sharing any information, we are prepared to accommodate this request.

 

b) We prioritise the security and protection of your data. The personal information we retain, including your name, address, phone number, and email address, is necessary to fulfil the services requested by you. This confidential data is securely stored for a period of 2 years from the date of agreement expiration or termination. After this time the information will be deleted or disposed of. Clients have the right to access and verify this information at any time to ensure its accuracy and relevance.

4. Termination

a) Either party can end the agreement within 14 days written notice. Upon termination, the client will be billed for work completed up to that date. The agreement concludes once all service obligations are fulfilled, and the engagement is finished. We reserve the right to terminate the agreement immediately in case of a significant breach of our terms.

5. Insurance

a) W.G. Virtual PA Services Ltd has professional indemnity insurance with PolicyBee insurance company.

6. Force Majeure

a) Neither party shall be deemed in breach of the agreement if the fulfilment of their obligations is prevented by a force majeure event, such as natural disasters, floods, fires, power failures, government actions, emergency medical treatment, or any other event beyond their control. If either party is unable to fulfil their obligations for a consecutive period of 31 days due to such an event, the other party may terminate the agreement by providing written notice at the end of that period if no resolution can be reached through mediation. 

7. Severability

a) Should any provision of these terms and conditions be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain valid and enforceable.

8. Waiver

a) The service providers failure to assert any right or provision under these terms and conditions shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.

9. Dispute Resolution

a) We strive to provide an efficient administration service. If you believe our service has not met your expectations, please submit your complaint in writing and we will promptly address your concerns.

10. Law and Jurisdiction

a) The agreement shall be ruled and interpreted according to the law of Jersey, Channel Islands.
